1. Nature of Service — Reseller / Purchasing Agent
CityKidzToys (“we”, “us”, “our”) acts solely as a third-party purchasing and order-facilitation service. We place orders with independent suppliers (including, but not limited to, platforms such as AliExpress) on the customer’s behalf and charge a service fee or markup. We do not manufacture, own title to, warehouse, inspect, or otherwise physically handle products unless explicitly stated. Products are shipped directly from suppliers to customers.
By placing an order, you authorize CityKidzToys to purchase items from third-party suppliers on your behalf and accept that any claims regarding product authenticity, manufacture, warranty, safety, or intellectual property are the responsibility of the original manufacturer or supplier unless we expressly state otherwise in writing.
2. Account & Buyer Representations
When you create an account, you must provide accurate and current information. You are responsible for maintaining the security of your account credentials and agree to notify us immediately of any unauthorized use. You further agree not to upload, list, or provide any content that infringes upon another party’s intellectual property rights.
3. Intellectual Property — No Ownership / No Endorsement
- All product names, images, logos, descriptions, and marks displayed on our website that relate to third-party goods are the property of their respective owners.
- CityKidzToys does not claim ownership of any third-party trademarks, copyrights, or other intellectual property and does not represent or imply that suppliers or manufacturers are authorized distributors or licensees of any brand unless explicitly stated in writing.
- Use of product images, text, or marks on our site is for identification and resale purposes only. Use does not imply any affiliation or endorsement by the trademark owner.
4. Supplier Warranties & Customer Acknowledgment
We rely on supplier-provided product content. To the fullest extent possible, we require suppliers to warrant that they have the right to sell the products and to authorize the use of their product images and descriptions. However, CityKidzToys makes no independent warranty or representation regarding supplier ownership of intellectual property or rights to sell.
By purchasing through our Service, you acknowledge that (a) you are buying from third-party suppliers, (b) CityKidzToys has not independently verified supplier ownership or authorization, and (c) CityKidzToys is not the manufacturer or brand owner.
5. DMCA / IP Takedown Procedure
If you are a copyright or trademark owner (or an authorized agent) and believe that material on our site infringes your rights, please send a written notice to our DMCA Agent containing the following:
- Your physical or electronic signature;
- Identification of the copyrighted work or trademark claimed to be infringed;
- Identification of the infringing material and its URL or location on our website;
- Your contact information (name, address, telephone, email);
- A statement that you have a good-faith belief that the use is not authorized by the rights owner, its agent, or the law;
- A statement, under penalty of perjury, that the information in the notice is accurate and that you are the owner or authorized to act on behalf of the owner.

Upon receipt of a proper notice, we will expeditiously remove or disable access to the allegedly infringing material and, where applicable, notify the supplier or account holder. If we receive a valid counter-notice, we may restore the material unless the complainant files a court action seeking a permanent injunction.
6. Counter-Notice Procedure
If your content was removed and you believe it was removed by mistake, you may submit a counter-notice containing:
- Your physical or electronic signature;
- Identification of the removed material and its previous location;
- A statement, under penalty of perjury, that you have a good-faith belief the material was removed by mistake or misidentification;
- Your name, address, telephone, email, and consent to jurisdiction of the federal district court for your residence (or, if outside the U.S., the jurisdiction where CityKidzToys is located), and acceptance of service of process from the original complainant.

7. Repeat Infringer Policy
We will terminate accounts of repeat infringers and may remove listings or block suppliers who repeatedly provide infringing goods or content.
8. Prohibited Items & Right to Cancel
We may refuse or cancel orders for counterfeit, infringing, illegal, unsafe, or otherwise prohibited items. We reserve the right to remove listings or cancel orders that, in our sole judgment, present legal or reputational risk.
9. Disclaimers & Warranty Exclusion
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CITYKIDZTOYS PROVIDES THE SERVICE AND THE FACILITATION OF PURCHASES “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. CITYKIDZTOYS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CITYKIDZTOYS, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL) ARISING FROM OR IN CONNECTION WITH THE USE OF THE SERVICE, THE PURCHASE OR USE OF THIRD-PARTY PRODUCTS, OR ANY CLAIM OF INTELLECTUAL PROPERTY INFRINGEMENT.
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE SERVICE OR MARKUP FEES YOU PAID TO CITYKIDZTOYS FOR THE TRANSACTION GIVING RISE TO THE CLAIM, OR (B) USD $100, REGARDLESS OF THE FORM OF ACTION OR THEORY OF LIABILITY.
11. Indemnification
You agree to indemnify, defend, and hold harmless CityKidzToys and its affiliates, officers, employees, and agents from and against all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your use of the Service, your purchase, importation, resale, or use of any products, or any claim that your conduct or products infringe or violate third-party rights.
12. Recordkeeping & Cooperation
CityKidzToys maintains reasonable records of supplier sources, invoices, and transactions where possible. Upon lawful request, we may share supplier and transaction data with verified rights owners to demonstrate good-faith purchase and cooperation.
13. Jurisdiction & Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. All disputes shall be resolved exclusively in the state or federal courts located in Suffolk County, New York.
14. Modifications
We may modify these Terms or policies at any time by posting an updated version on our website. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
